Role: Manager – Contracts & Legal
Reporting to: Senior Leadership Team
Roles & Responsibilities:
Managing Customer Contracts (Full lifecycle Process)
Negotiating, drafting and reviewing multi-jurisdictional Subscription and Licencing Agreements, terms of business, Vendor Agreements, Confidential Agreements, DPAs, legal documents, Notices etc.
Creating/maintaining and timely updating the Standard templates for MSA, NDA, DPA, Order Forms, SoW, etc. and HR related documents.
Reviewing, evaluating, and approving redlines or non-standard contract requests in a timely manner and in accordance with the Company’s policies. Also represent the Company to Customers (& their legal counsel) for negotiations related to these contracts.
Contract Management: maintaining proper documentation and up-keeping of all agreements, contracts and their renewals on time.
Make a workflow for managing Contracts and create SLA’s / TAT’s for the same.
Develop and maintain a negotiation playbook for major Customer Contracts (specially MSA, NDA etc.) and train the Sales team on the same.
Managing RFP’s for winning customer contracts and orders – reviewing, preparing, responding. Assist in the completion of a variety of questionnaires as requested from partners, customers, or vendors and ensure compliance with their annual activity requirements (e.g., vendor applications, banking industry requirements, healthcare industry requirements).
Working with Sales and other teams to win more contracts and increase the win value.
Maintain inventory and repository of all master agreements, templates, and related supporting documentation including the distribution of new and/or the retirement of old documentation with other departments within the Company.
Work on Security related to contracts like HIPPA, FERPA, GDPR, TCPA etc. and be able to draft/review clauses, contracts, addendums related to above. Provide guidance to the IT and Product Development teams on implementation of these Security practises and laws for Compliance.
Provide legal advice to business and various teams and stakeholders and oversee all the legal and regulatory affairs of the Company.
HR Legal and all employee Paperwork & Issues:
Create and manage templates for all employee agreements like Offer letter, Information Disclosure, Proprietary Information, Employment Agreement etc.
Attend any anticipated or possible legal issue with employees and prepare Company position and action for it.
Oversee the labour laws and its applicability to the company and provide guidance on it.
Manage and review all paperwork before signing:
Take over the Digital Signature Process, accounts and manage the process of signing any contract (Internal or external).
